These Terms & Conditions (“Terms”) govern your purchase and use of Fiscal, a desktop application for personal spending analysis provided by Fiscal (“we”, “us”, or “our”). By downloading, installing, or using Fiscal, you agree to these Terms. If you do not agree, do not use Fiscal.

1. License grant

Subject to these Terms and your payment of any applicable fee, Fiscal grants you a personal, non-exclusive, non-transferable, revocable license to install and use Fiscal for your own personal, non-commercial spending analysis. This is a one-time purchase of a license to use the software, not a sale of the software itself, and not a subscription. Fiscal retains all rights, title, and interest in and to Fiscal, including all intellectual property rights.

2. Free & Pro tiers

Fiscal is offered in a Free tier and a paid Pro tier. The Free tier may be used at no cost with certain features or limits. The Pro tier unlocks additional features and is enabled by purchasing a license for a one-time fee of $49.99. The specific features included in each tier may change over time and are described on our website.

3. License activation & device limit

A Pro license may be activated on up to 1 device(s). Activation and validation are handled through our licensing provider, Keygen, and involve a one-time online request that sends only your license key and a randomly generated installation identifier (see our Privacy Policy). Your license key is personal to you. You may not sell, share, sublicense, publish, or otherwise distribute your license key, and you may not attempt to exceed or circumvent the device-activation limit.

4. Acceptable use

You agree not to:

• copy, redistribute, resell, rent, lease, or sublicense Fiscal or your license key;
• reverse engineer, decompile, or disassemble the software, except to the extent this restriction is prohibited by applicable law;
• circumvent, disable, or tamper with licensing, activation, or security mechanisms;
• use Fiscal in violation of any applicable law or regulation; or
• remove or alter any proprietary notices in the software.

6. Data accuracy

Fiscal imports and categorizes data from files you provide. Automated import and categorization may contain errors, omissions, or misclassifications, and results depend on the quality and format of the files you import. Fiscal is not a substitute for your official bank records or statements. You are responsible for verifying any figures against your authoritative financial records before relying on them.

7. Your data, encryption & backups

Fiscal stores your data locally on your device in an encrypted database. If you set a master password, it is zero-knowledge: it never leaves your device, and Fiscal cannot access your data, recover your data, or reset a forgotten master password.

You are solely responsible for safeguarding your master password and for maintaining your own backups of your data. If you lose your master password or your backups, or if your device or its storage fails, your data may be permanently and irrecoverably lost. Fiscal is not responsible for, and shall have no liability for, any such loss of data.

8. Purchases & Merchant of Record

Purchases of Fiscal are sold and processed by Paddle (Paddle.com Market Limited), which acts as the Merchant of Record and is the seller of record for the transaction. Your purchase is therefore also subject to Paddle’s buyer terms and conditions and privacy policy. As Merchant of Record, Paddle processes payment and billing information and collects and remits any applicable sales tax or VAT. The price is a one-time fee of $49.99 and is not a recurring subscription. Prices may change for future purchases.

9. Refunds

Fiscal is a one-time purchase that runs entirely on your own device and continues to work offline and indefinitely after purchase — once activated, it needs nothing further from us to keep functioning. Because of this, all sales are final and we do not offer refunds. You can evaluate Fiscal using the Free tier before deciding to buy.

Nothing in this section limits any statutory refund or consumer-protection rights you may have under applicable law. Where such mandatory rights apply, or for any billing dispute or chargeback, Paddle acts as Merchant of Record and administers these under its own buyer terms; you can also contact us at [email protected].

10. Updates & availability

We may, but are not obligated to, provide updates, bug fixes, or new features for Fiscal. Updates are not guaranteed to be provided in perpetuity, and specific features may be added, changed, or removed over time. Because Fiscal runs locally on your device, existing installed versions will continue to function regardless of whether updates are released.

11. Disclaimer of warranties

Fiscal is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law. We do not warrant that Fiscal will be error-free or uninterrupted, or that results obtained from it will be accurate or reliable.

12. Limitation of liability

To the maximum extent permitted by applicable law, Fiscal shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of or inability to use Fiscal. To the maximum extent permitted by law, Fiscal’s total aggregate liability arising out of or relating to Fiscal or these Terms shall not exceed the amount you actually paid for your license.

13. Termination

This license is effective until terminated. It will terminate automatically if you breach these Terms. Upon termination, you must stop using Fiscal and delete all copies in your possession. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

14. Governing law

These Terms are governed by the laws of The United States of America and The State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or Fiscal shall be subject to the courts located in that jurisdiction, except where applicable mandatory consumer-protection law provides otherwise.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and post the new version here. Your continued use of Fiscal after changes take effect constitutes acceptance of the revised Terms.
