Fiscal Affiliate Program Agreement

This Fiscal Affiliate Program Agreement (“Agreement”) governs your participation as an affiliate (“you”, “Affiliate”) in the affiliate program (the “Program”) for Fiscal, operated by [PLACEHOLDER: LEGAL ENTITY NAME] (“Company”, “we”, “us”). By signing up for the Program or accepting these terms, you agree to this Agreement. If you do not agree, do not participate in the Program. 1. Commission
We pay commission on qualifying sales of Fiscal that are attributed to you. The default commission rate is 30% of the pre-tax sale amount. Your current, live rate — which may differ if we have set a custom rate for you — is always shown on your affiliate dashboard, and the dashboard is the authoritative source of your current rate.
A sale is attributed to you on a last-click basis when the purchase occurs within 45 days of a click on your referral link. Commission rates and the attribution window are subject to change; changes apply to sales occurring after the change takes effect.
2. When commission is not earned or is reversed
No commission is earned, and any commission already booked may be reversed (“clawed back”), in cases including:
- Self-referrals. Purchases you make through your own referral link do not earn commission.
- Refunds and chargebacks. If a purchase is refunded or charged back, the associated commission is reversed. (Fiscal is sold through Paddle as Merchant of Record, which administers billing, tax, and chargebacks.)
- Fraudulent or fake traffic. Clicks or sales generated by bots, incentivized/misleading traffic, self-dealing, or other manipulation do not earn commission and may result in removal from the Program.
- Non-attributable purchases. Purchases not validly attributed to your referral (e.g. no valid referral within the attribution window) do not earn commission.
3. Payouts
Commissions are paid by PayPal or Wise, using the payout details you provide on your dashboard. You are responsible for keeping those details accurate; we are not liable for payments sent to details you provided.
- Schedule. Payouts are processed [PLACEHOLDER: PAYOUT CADENCE — e.g. monthly, on the 1st].
- Minimum threshold. A payout is issued only once your approved, unpaid balance reaches [PLACEHOLDER: MINIMUM PAYOUT AMOUNT].
- Sub-threshold rollover. If your approved balance is below the minimum at a payout date, it rolls over and accumulates to the next cycle until it reaches the minimum.
- Inactive or unclaimed balances. [PLACEHOLDER: TREATMENT OF INACTIVE/UNCLAIMED BALANCES — e.g. forfeiture after a period of inactivity or an invalid payout method].
Only approved commissions are payable. Pending commissions are not yet payable, and reversed commissions are not payable.
4. Prohibited conduct
You must not:
- send spam or unsolicited bulk messages, or promote your link in a way that violates any platform’s rules or applicable law;
- bid on “Fiscal”, getfiscal.app, or our trademark/brand terms (or close variants/misspellings) in paid search or other paid advertising;
- make false, misleading, or unsubstantiated claims about Fiscal, its features, pricing, or results;
- impersonate Fiscal or imply you are Fiscal, official Fiscal support, or endorsed/employed by us; or
- use referral codes or promotional materials that are deceptive, infringing, or otherwise inappropriate.
5. Disclosure
You must clearly and conspicuously disclose your affiliate/paid relationship with Fiscal wherever you promote Fiscal, in compliance with the U.S. Federal Trade Commission (FTC) Endorsement Guides and any other applicable disclosure laws. You are solely responsible for making adequate disclosures.
6. Referral codes
Your referral code must be appropriate. Codes are limited in length and are automatically screened to reject profanity, slurs, and terms that impersonate Fiscal or its staff. We may reject, reclaim, or change any code at our discretion — including one that becomes inappropriate or is used in bad faith. You may change your own code at most once every 14 days. A code you retire is not reissued, so links you have already shared continue to attribute to you.
7. Termination
We may suspend or remove you from the Program, and withhold or reverse commissions, at our discretion — including for any breach of this Agreement or suspected fraud or abuse. You may leave the Program at any time.
On termination: commissions still pending (not yet approved) are forfeited; commissions already approved and unpaid will be paid at the next scheduled payout, except where termination is for fraud, abuse, or breach, in which case approved-but-unpaid commissions may also be withheld or reversed. 8. Independent contractor & taxes
You are an independent contractor, not an employee, agent, partner, or joint venturer of the Company. Nothing in this Agreement creates an employment or agency relationship. You have no authority to bind the Company.
You are solely responsible for all taxes on commissions you earn. We do not withhold taxes. Where required, you agree to provide accurate tax information (for example, [PLACEHOLDER: TAX FORMS — e.g. IRS Form W-9 for U.S. persons / W-8 for non-U.S. persons]), and we may issue tax forms (for example, [PLACEHOLDER: 1099 THRESHOLD & REPORTING for U.S. payees]) and, where legally required, withhold or pause payouts until valid tax information is provided. Tax obligations are administered consistent with the laws of the State of California and applicable U.S. federal law.
9. Changes to the Program & these terms
We may modify the Program or this Agreement at any time. When we make material changes, we will publish a new version here with a new version number and effective date, and we may require you to re-accept the updated terms before continuing to participate. Your continued participation after changes take effect constitutes acceptance of the then-current terms.
10. Governing law & disputes
This Agreement is governed by the laws of the State of California and applicable laws of the United States, without regard to conflict-of-laws principles.
